Terms of Service

1. The Service

OPD Desk Pro is a clinic management platform that enables registered medical practitioners and their authorised staff to manage OPD token queues, patient records, appointment scheduling, and fee collection. The Service is provided by:

2. Eligibility

To use OPD Desk Pro, you must:

• Be a registered medical practitioner (for doctor accounts) or an authorised clinic employee (for clinic assistant accounts)
• Be at least 18 years of age
• Have a valid Indian mobile number
• Have been provisioned an account by Neuvo WebTech — accounts cannot be self-registered

You represent and warrant that all information you provide to us is accurate and that you have the authority to enter into these Terms.

3. Account Responsibilities

• You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account.
• You must notify us immediately at [email protected] or +91-8444833444 if you suspect unauthorised access to your account.
• You must not share your login credentials with any person who is not an authorised member of your clinic.
• Doctors are responsible for the accounts of clinic assistants registered under their clinic.

4. Acceptable Use

You agree to use the Service only for lawful clinic management purposes. You must not:

• Use the Service to store or process data unrelated to your clinic's patients and appointments
• Attempt to access another user's account or data
• Reverse-engineer, decompile, or disassemble the App or its backend APIs
• Use automated tools to scrape, crawl, or extract data from the Service
• Upload or transmit any malicious code, viruses, or harmful content
• Use the Service in any way that violates applicable laws, including the Information Technology Act, 2000 or the Digital Personal Data Protection Act, 2023
• Misrepresent your identity or professional credentials

5. Patient Data & Medical Records

OPD Desk Pro is a clinic management tool, not an electronic medical records (EMR) system. You acknowledge that:

• You are solely responsible for the accuracy and completeness of patient data you enter.
• You must obtain any patient consent required under applicable Indian law before storing their personal information in the App.
• Neuvo WebTech does not provide medical advice and is not liable for clinical decisions made using data stored in the App.
• You must comply with all applicable medical data privacy regulations, including any guidelines issued by the Medical Council of India or equivalent bodies.

6. Subscription & Payment

• Access to OPD Desk Pro requires an active paid subscription per clinic.
• Subscription fees are as quoted at the time of account creation and are subject to change with 30 days' notice.
• Fees are billed on a monthly basis and are due in advance. Non-payment may result in suspension of access.
• No refunds are provided for partial months or for unused periods unless otherwise agreed in writing.
• Neuvo WebTech reserves the right to suspend or terminate access for non-payment of fees.

7. Service Availability

We strive to provide reliable, continuous access to the Service. However:

• The Service is provided on an "as is" basis. We do not guarantee 100% uptime.
• Scheduled maintenance, server updates, or third-party outages (including Supabase, Vercel, or Firebase) may result in temporary unavailability.
• We are not liable for any losses arising from Service downtime, however caused.
• We will make reasonable efforts to notify users of planned maintenance via the App or WhatsApp.

8. Intellectual Property

All intellectual property rights in the OPD Desk Pro application, including but not limited to the software code, design, trademarks, and content, are owned by or licensed to Neuvo WebTech LLP.

You are granted a limited, non-exclusive, non-transferable licence to use the App solely for the purpose of managing your clinic. This licence does not include the right to copy, modify, distribute, sell, or sublicense the App or any of its components.

Patient data and clinic records you create in the App remain your property. By using the Service, you grant Neuvo WebTech a limited licence to store and process that data solely as necessary to provide the Service.

9. Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review it to understand how we collect and use your information.

10. Termination

By you: You may request closure of your account at any time by contacting support. Upon closure, all your data will be permanently deleted as described in the Privacy Policy.

By us: We may suspend or terminate your account immediately without notice if:

• You breach any of these Terms
• Your subscription payment is overdue by more than 14 days
• We are required to do so by law
• We reasonably believe your use of the Service is fraudulent or harmful to other users

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow you to request a copy, after which it will be permanently deleted.

11. Limitation of Liability

To the maximum extent permitted by applicable Indian law:

• Neuvo WebTech LLP shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service.
• Our total aggregate liability to you for any claim arising from or related to the Service shall not exceed the total subscription fees paid by you in the three months preceding the claim.
• We are not liable for loss of patient data due to circumstances beyond our reasonable control, including hardware failure, natural disasters, or third-party service outages.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranty of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error-free, uninterrupted, or free of viruses.

13. Indemnification

You agree to indemnify and hold harmless Neuvo WebTech LLP, its partners, employees, and agents from and against any claims, liabilities, damages, or expenses (including legal fees) arising from your violation of these Terms, your misuse of the Service, or your violation of any applicable law.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you via the App or by WhatsApp at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India. Any dispute arising from or in connection with these Terms shall first be attempted to be resolved amicably. If unresolved within 30 days, disputes shall be subject to the exclusive jurisdiction of the courts of Kolkata, West Bengal.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

17. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Neuvo WebTech LLP regarding your use of the Service and supersede all prior agreements and understandings.
